These Terms of Service (“Terms”) govern access to and use of Directly, including directly.work, app.directly.work, related dashboards, bots, APIs, and services (together, the “Service”).

The Service is operated by Todayq Technologies Private Limited (“Todayq,” “we,” “us,” or “our”), a company incorporated in India.

By creating an account, running an audit, connecting an X account, loading credits, accepting a proposal, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of a company, you represent that you have authority to bind that company, and “you” includes that company.

These Terms are a website template written to match how Directly actually works. They are not a substitute for review by qualified counsel.

1. What Directly is

Directly helps founders and companies run X (Twitter) presence.

The Service currently includes:

  1. AI Agent (pay-as-you-go). An agent that can monitor public X activity, draft tweets, replies, quote tweets, and threads, learn voice from your content and dumps, and queue or publish content according to your settings and credits.

  2. Managed service (subscription). A Directly-matched human operator, sometimes supported by specialists (engagement, design, video), who manages a founder and/or company X account under a written plan.

  3. X audit. A limited public-data review of an X profile, used as an entry point. An audit does not require signup and does not grant us posting access.

  4. Bots and inbox tools. Web chat plus Slack and/or Telegram relays so you can dump thoughts, approve voice changes, and receive drafts or alerts.

  5. Logging and reporting. Activity logs, review queues, and performance views tied to the accounts you connect.

Directly is not a marketplace you use to hire strangers off a directory. For managed work, your contract is with Directly. Operators and specialists work through Directly.

Directly is not a follower-buying, fake-engagement, or undisclosed paid-endorsement service.

2. Eligibility and accounts

You must be at least 18 and able to form a binding contract.

You must provide accurate account information. Founder / advertiser accounts may require a work email or a connected work identity. You are responsible for everyone who acts through your workspace, including team members and guests you add to Slack or Telegram groups connected to the Service.

Keep credentials, OAuth grants, Delegate access, and bot connections secure. Tell us promptly at team@directly.work if you think an account is compromised.

We may refuse, suspend, or close an account if we reasonably believe these Terms, X’s rules, or applicable law are being broken.

3. X access - read, write, delete, and DMs

3.1 You stay the account owner

Connecting X does not transfer ownership of your handle, followers, or content. You remain the owner of the X account and remain responsible for everything published through it, including content drafted by the AI Agent or a human operator.

3.2 What you authorize

When you connect X via X’s official OAuth and/or grant X Delegate access, you authorize Directly and people working through Directly to act on that account within the scopes you approve. Depending on the product path and the permissions you grant, that may include:

  • reading profile data, posts, replies, engagement metrics, and related public or authorized data

  • writing posts, replies, quote tweets, threads, and media

  • deleting posts or other content you ask us to remove or that your settings allow

  • sending and reading Direct Messages, if you grant DM scope

  • using short links and tracking we attach to content we publish for you

We use X APIs and official account-access tools. We do not ask you to hand over your X password.

3.3 You can revoke access

You may disconnect OAuth and revoke Delegate access at any time in X’s settings and in Directly. Revoking access may immediately stop posting, monitoring that depends on authorized data, and DM features. Credits already used are not returned because access was revoked.

When a managed subscription ends, we revoke Directly-side access as part of off-boarding. You should also revoke access on X.

3.4 X’s rules still apply

You must follow X’s Terms of Service, Rules, and developer / automation policies. If X limits, suspends, or bans the connected account, that is between you and X. We are not responsible for platform enforcement, algorithm changes, reach, or account loss.

Do not use Directly to:

  • evade a ban or create inauthentic accounts

  • run coordinated inauthentic behavior

  • buy or sell fake engagement

  • spam, scrape in violation of X rules, or mass-unsolicited DM people

  • post anything illegal, hateful, sexually exploitative, or that infringes someone else’s rights

4. AI Agent terms

4.1 How the agent works

The agent uses your handle history, onboarding answers, knowledge base, style settings, monitoring lists, search terms, space context, and anything you dump in web chat, Slack, or Telegram to draft and (if enabled) publish content.

The agent is not a lawyer, investment adviser, or guaranteed growth engine. Output can be wrong, off-tone, or outdated. You are responsible for reviewing settings and, where you enable review, for what you approve.

4.2 Credits

AI Agent usage is billed in credits. Current list prices and pack sizes are shown in the product. Unless we say otherwise in the product:

  • credits are purchased in packs or loaded to a wallet

  • generation is charged when a draft is generated, not only when it is posted

  • optional human review, if you buy it, is charged if the reviewer approves the item

  • if you reject your own draft, generation credits already used are not refunded

  • if Directly’s reviewer rejects an item as not good enough to send, generation credits for that item are refunded

  • empty or failed generations are refunded

  • requested regenerations / “rethinks” may be free, subject to abuse limits

  • monitoring accounts and search terms are not separately billed; you pay when generation runs

  • credits do not expire, or expire only if a pack page clearly states a window

Credits are a prepaid right to use the Service. They are not cash, crypto, or a stored-value account. Unused credits are not refundable except where we are legally required to refund, or where these Terms say a specific charge is reversed.

We may change credit prices for future purchases. Changes do not rewrite credits you already bought.

4.3 Auto-post vs review

You choose, per content type, whether drafts go to a review queue or can post under your configured rules. Quote tweets, search-term / sales-adjacent replies, threads, and customer-intent messages may be forced to review even if other content is on auto.

If you turn auto-post on, you accept that content may go live on X without a further click from you.

4.4 Voice learning

The agent may propose updates to your voice profile from dumps, edits, approvals, and rejections. Voice fields are not overwritten as a hard change unless you confirm a proposal or you explicitly ask us to change them. Soft signals may still be logged to improve drafts.

5. Managed service terms

Managed engagements start only after a plan / proposal is accepted and paid, except where we agree otherwise in writing.

For managed accounts:

  • you see the plan and price before you pay

  • a named lead operator is assigned

  • support specialists (replies, design, video, or other) may be added

  • you grant Delegate access (required to post) and may optionally connect OAuth for better tracking

  • deliverable numbers in the plan are floors, not exact caps

  • the first month of a new engagement is a minimum commitment unless the proposal says otherwise

  • cancellation after that point follows the proposal and Section 11

Operators and specialists do not set your customer price and should not be paid off-platform for Directly work. Going around Directly to hire the same person for the same X work, during the engagement and for 12 months after it ends, is a breach of these Terms.

6. Content, voice, and license

You keep ownership of your trademarks, product information, and the posts published on your X account.

You grant Directly a worldwide, non-exclusive license to use, host, reproduce, adapt, and display materials you submit (including dumps, documents, images, call recordings you consent to, and X content we are authorized to read) only to operate, secure, improve, and provide the Service.

You also grant us the right to use anonymized or aggregated patterns (for example, “replies of this shape get skipped more often”) to improve playbooks. We will not sell your private dumps as a standalone dataset.

AI-assisted drafts may resemble other public writing. We do not guarantee that output is unique or that it will not trigger a third-party complaint.

You represent that you have the right to give us the materials and X permissions you provide, and that publishing the content will not violate law or third-party rights.

7. Acceptable use

You agree not to use the Service to:

  • break the law or these Terms

  • impersonate another person or company without authority

  • upload malware or probe the Service except through a coordinated disclosure

  • resell access without our written consent

  • try to extract another customer’s data, playbooks, or operator roster

  • instruct the agent or an operator to post defamation, fraud, market manipulation, or undisclosed paid endorsements where disclosure is required

  • harass, dox, or target people

  • use customer / buying-intent replies as spam

We may pause posting, disable the agent, or close the workspace if we reasonably believe a connected account is creating legal, safety, or platform risk.

8. Payments

Prices are shown in the product or in a proposal.

AI Agent charges are credit purchases. Managed service charges are subscriptions or stated add-ons (recurring or one-off).

Payments are processed by third-party providers. We do not store full card numbers.

Taxes may be added where required. Failed payments can pause the Service. Chargebacks made in bad faith after you used the Service may result in account closure.

Except as required by law or as expressly stated (for example, a reviewer rejection refund on a specific generation), fees are non-refundable once the period starts or credits are loaded.

9. Third-party services

The Service depends on third parties, including X, model providers, site-crawling tools, Slack, Telegram, call providers, analytics, and payment processors.

Their terms apply to your use of those products. An outage, API price change, or policy change at X or a vendor can limit features. We are not liable for those third-party platforms.

Slack and Telegram are relays. Directly’s own app is the system of record for engagement chat and logs.

10. No performance guarantee

We do not guarantee follower growth, impressions, ranking, leads, revenue, or that any specific draft will perform. X’s algorithm and audience change. Case studies, if shown, are examples - not a promise of the same result.

11. Term, pause, and cancellation

You may stop using the AI Agent at any time by disconnecting X and not buying more credits. That does not automatically delete historical logs or billing records we keep for legal reasons.

Managed subscriptions renew as stated in the proposal. Cancel through the dashboard or by emailing team@directly.work. If a minimum term applies, you remain responsible for fees through that term.

We may suspend or end the Service if you breach these Terms, if a payment fails, if X revokes access, or if we shut down a product line. If we discontinue the AI Agent entirely, we will honor unused credits for a reasonable period or refund the unused prepaid credit balance.

On termination we stop acting on the X account. We may delete or restrict workspace access after a retention window. Sections that should survive (including 6, 7, 10, 12–16) survive.

12. Confidentiality

Non-public product plans, pricing internals, operator identities beyond what we show you, and unpublished drafts are confidential. You may not scrape or publish another customer’s workspace. We will treat your unpublished dumps and knowledge-base files as confidential, except where you ask us to publish them, where disclosure is required by law, or where Section 6’s limited improvement license applies.

13. Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIRECTLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SAFE FROM ACCOUNT ENFORCEMENT BY X.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TODAYQ AND ITS DIRECTORS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST GOODWILL, OR LOST ACCOUNT ACCESS, EVEN IF ADVISED OF THE POSSIBILITY.

DIRECTLY’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM.

Some jurisdictions do not allow certain limits. In those places, our liability is limited to the maximum permitted.

15. Indemnity

You will defend and indemnify Directly against claims, damages, and reasonable legal fees arising from: (a) content published on your X account through the Service; (b) your X permissions or lack of authority; (c) your breach of these Terms or of X’s rules; or (d) materials you upload.

16. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law rules.

Courts at Gurugram, Haryana, India have exclusive jurisdiction, subject to any non-waivable rights you have in your place of residence.

Before filing a claim, email team@directly.work and give us 30 days to try to resolve it.

17. Changes

We may update these Terms. The “Last updated” date will change. Material changes will be posted on the site or emailed to the account owner. Continued use after the effective date is acceptance. If you do not agree, stop using the Service and revoke X access.
